  • Alderney Renewable Energy Limited ('ARE')

    The firm acts on all aspects of the Alderney Renewable Energy Limited's ("ARE") development of the largest commercial array of tidal turbines.  The work encompasses all corporate advisory, transmission network development, debt and equity fund raising and regulatory advice.  This positions  the firm in a unique situation as the only Guernsey law firm with renewable energy experience.  Originally instructed to act for Alderney Renewable Energy Limited ('ARE') in 'world first' negotiation with States of Alderney for rights to exploit tidal power in Alderney's territorial waters. This precedent-setting transaction involved the development of new laws, a unique licensing framework, the drafting and negotiation of the supporting commercial agreements and general regulatory advice on the development of the first tidal power project in the UK to move beyond the testing phase. Further advised on the funding of ARE in various commercial agreements relating to the supply of turbines and equity investment. Norton Rose were instructed by Collas Day to advise on the effect of European electricity regulation and White & Case in connection to advice on a French electricity connection agreement. This project was unique in terms of the type of work being undertaken and the scope of the project in the Channel Islands and the firm has continued to act for ARE on all aspects of their operations requiring legal advice.

    Prior to the sale of R&R Ice Cream plc by Oaktree Capital to PAI Partners for EUR 850 million (including a EUR 253 million payment-in-kind toggle note), Paul Wilkes and Kit Hobbs were instructed by Linklaters in London to assist with the purchase by the R&R group of Fredericks Dairies for GBP 49 million (subject to competition clearance).  The deal involved due diligence, a site visit and review of documents under or relating to Guernsey law.

This acquisition significantly boosts JTC's numbers in Guernsey and forms part of JTC's broader international expansion plans.

    Paul Wilson acted for the Jersey Football Association in the incorporation of a company to take over the running and regulation of the Association's business.  The Association was previously an unincorporated association, and Paul Wilson drafted the Loi sur l'Association dite "The Jersey Football Association" (Repeal) (Jersey) Law 2012 which came into force in November 2012.  This law provided for the dissolution of the old unincorporated association upon the incorporation of the new company. Chantelle Foster assisted with a review of the new company's memorandum and articles of association and new rules.

    Paul Wilson and Chantelle Foster acted for the sellers of the Key Trust group, a trust and corporate services provider to Hawksford, including negotiating principal agreements and leading commercial negotiations between the sellers and the purchaser. 

    Particular issues included lengthy commercial negotiations with the purchaser, dealing with a multitude of regulatory and cross-jurisdictional issues, and co-ordinating a closing that related to over a dozen companies.
