  • Alderney Renewable Energy Limited ('ARE')

    The firm acts on all aspects of the Alderney Renewable Energy Limited's ("ARE") development of the largest commercial array of tidal turbines.  The work encompasses all corporate advisory, transmission network development, debt and equity fund raising and regulatory advice.  This positions  the firm in a unique situation as the only Guernsey law firm with renewable energy experience.  Originally instructed to act for Alderney Renewable Energy Limited ('ARE') in 'world first' negotiation with States of Alderney for rights to exploit tidal power in Alderney's territorial waters. This precedent-setting transaction involved the development of new laws, a unique licensing framework, the drafting and negotiation of the supporting commercial agreements and general regulatory advice on the development of the first tidal power project in the UK to move beyond the testing phase. Further advised on the funding of ARE in various commercial agreements relating to the supply of turbines and equity investment. Norton Rose were instructed by Collas Day to advise on the effect of European electricity regulation and White & Case in connection to advice on a French electricity connection agreement. This project was unique in terms of the type of work being undertaken and the scope of the project in the Channel Islands and the firm has continued to act for ARE on all aspects of their operations requiring legal advice.

    Ian Kirk, Kit Hobbs and Mark Priaulx acted for Norman, Piette Limited in its recent acquisition of Capital PVC Building Supplies Limited from its previous family ownership for an undisclosed amount.  This consolidates the Norman Piette Group's position as Guernsey's leading wholesaler of building materials.  This transaction featured a post-completion valuation mechanism requiring expert determination of the net asset value of the target company.

  • First Jersey Cross-Border Merger

    Collas Crill advised on Jersey's first ever cross-border merger. Jersey's statutory company merger regime was updated in February 2011, introducing provisions to allow a Jersey company to merge with an overseas body. This significantly simplified what was previously a two-step procedure, involving the initial continuance of the overseas body into Jersey and subsequent merger. The merger was carried out between a Jersey company and a BVI company, which combined to form and continue as a Jersey company. Collas Crill were instructed on this matter by a major trust company.

    Paul Wilkes and Kit Hobbs acted for the Royal Bank of Scotland plc in its capacity as agent under both a senior and a junior loan agreement, totalling over GBP927 million, in funding an innovative debt transfer scheme, known as Project Isobel, by reviewing provisions for the transfer of security and advising on the necessary requirements for registering and perfecting Guernsey security (as required).  The total value of assets under consideration in this transaction was approximately GBP1.36 billion.

This required, among other things, instructing and supervising Panamanian counsel in granting opinions on the Panamanian companies in the group and creating intangible security inGuernsey.

    Ian Kirk and Kit Hobbs acted alongside Clifford Chance in London for an international oil and gas services company and various of its group companies relating to the Guernsey elements of an expansion of security under senior and mezzanine facilities totalling over GBP 1 billion. This required, among other things, assessing the ability of a Guernsey company to grant a share pledge over a Panamanian subsidiary's shares and creating revised articles of incorporation and other shareholder resolutions on short notice in order to ensure a timely completion together with all other international counterparties.

    Collas Crill have advised Syncro Health Limited, an online health supplements retailer, on all aspects of its launch. The firm's involvement ranged from providing initial guidance on the decision to locate the business in Guernsey, to advising on commercial contracts, employment matters, intellectual property issues and website content. Collas Crill IP registered various trademarks for Syncro Health in both Guernsey and the EU, while GTC incorporated the company and will provide ongoing administration and other services.

    Paul Wilkes, Wayne Atkinson and Brandon Doffing have advised the AIM-listed company R.G.I. International Limited as the company successfully contested a number of resolutions proposed by an activist shareholder. The high-profile issues raised featured in the national and international press and required Collas Crill to advise on a number of highly technical points of law. These include issues related to directors' duties and obligations, shareholder rights and requisitions and the conduct of contentious EGMs.  The conduct of this matter has further built on our commercial teams already excellent experience and reputation in the field of contested meetings.
