Collas Crill's Directors' Duties Conference

Collas Crill will be hosting a conference on directors' duties during the life cycle of a company. From local cases, such as Carlyle to the much publicised UK examples of BHS, Carillion and Sports Direct, the role of directors and the importance of corporate governance is an increasingly scrutinised subject. The role that directors are required to fulfil is rapidly evolving, placing greater expectations upon performance of their duties whilst those duties are becoming less defined.

The speakers will be considering what issues face directors, and what they need to know and consider during the major phases of a company's life and death.

David O'Hanlon, Gareth Bell, Michael Adkins, Sean Cheong, Simon Heggsand Nin Ritchie will be joined by Andrea Harris of Krys Global and Ben Rhodes of Grant Thornton to share their expertise in conflicts, corporate governance and directors duties.

The conference will cover important, topical and practical issues for directors, senior managers and their advisers working in Guernsey's financial services businesses. Full details below.

SESSION ONE: THE DAWN OF DIRECTORSHIP

David O'Hanlon, Partner

David is a partner in the Guernsey dispute resolution team at Collas Crill. He has a broad experience of commercial litigation and professional negligence matters, often with cross-border or jurisdictional issues. David advises directors, shareholders and corporate service providers on contentious corporate matters such as shareholder or board disputes, claims against directors and advice on issues such as potential conflicts of interest.

David will use examples from recent cases in Guernsey, England and further abroad to discuss what directors should be considering when taking on a directorship, the risks they should be considering and pitfalls to watch out for.

SESSION TWO: MANAGING THE LIFE OF A COMPANY

SESSION THREE: THE DEATH PANEL

Michael is a partner and advocate in Collas Crill's dispute resolution department. He specialises in regulatory and insolvency law.

Michael will lead a panel discussion on the issues facing directors when a company is coming to the end of its life. The panellists will be providing insights from their own experiences as administrators and liquidators of companies, what directors should (and shouldn't) be doing and particularly those warning signs that liquidators are (and directors should be) looking out for. The session aims to provide practical guidance to directors or those advising directors who find themselves in difficult situations.
